These Terms govern your access to and use of ComplyTX ("ComplyTX," "we," "us"). By using our Service, you agree to these Terms. If you do not agree, do not use ComplyTX.

1. Eligibility & Account Registration

To use ComplyTX, you must:

• Be at least 18 years old
• Provide accurate and complete information
• Maintain the confidentiality of your login credentials

You are responsible for all activity under your account.

2. Subscriptions, Billing & Renewal

2.1 Subscription Plans

Access to the Service requires a paid subscription unless otherwise specified.

2.2 Automatic Renewal

Subscriptions renew automatically unless canceled before the renewal date.

2.3 Billing Policies

• All fees are non-refundable, except where required by Texas or U.S. law
• Pricing may change with prior notice
• Upgrades take effect immediately and may be prorated
• Downgrades take effect at the next billing cycle

3. Use of the Service & Restrictions

You agree not to:

• Misuse or abuse the platform
• Attempt unauthorized access
• Reverse engineer, modify, or disrupt the Service
• Use the Service for unlawful purposes
• Provide false business data that impacts compliance alerts

All content, software, trademarks, and branding remain the property of ComplyTX.

4. Compliance Information & "Ask Teddy" Disclaimer

ComplyTX provides:

• Aggregated open-source rule data
• Auto-generated compliance calendars
• Automated updates
• AI-assisted responses through "Ask Teddy"

ComplyTX does NOT provide legal or tax advice.

All outputs are informational and based on the data you provide.

You are responsible for:

• Verifying filings
• Updating business details
• Consulting licensed professionals when needed

5. Uptime, Data Accuracy & Early-Stage Limitations

ComplyTX is a growing platform. You acknowledge that:

• We do not guarantee uninterrupted service
• Compliance rules may change without notice
• Data is sourced from third-party public agencies
• Responsibility for final filings always remains with the business owner

We aim for accuracy but cannot guarantee it due to evolving Texas regulations.

6. Termination

We may suspend or terminate your account if:

• You violate these Terms
• You misuse the Service
• Your payment fails or subscription lapses

Upon termination:

• Access to your account will cease
• Your data may be archived or deleted pursuant to our Privacy Policy

You may terminate your account anytime by contacting support.

7. Limitation of Liability

To the fullest extent permitted by law:

• ComplyTX is provided "as-is" and "as-available"
• We disclaim warranties of accuracy, completeness, and fitness for a particular purpose
• We are not liable for missed deadlines, penalties, regulatory actions, or compliance failures
• Our maximum liability is limited to the fees you paid in the past 12 months

We are not liable for:

• Lost profits
• Business interruption
• Penalties or fines
• Indirect, incidental, or consequential damages

8. Indemnification

You agree to indemnify and hold ComplyTX harmless from claims arising out of:

• Incorrect business data you provide
• Misuse of the platform
• Violations of these Terms
• Actions stemming from improper reliance on AI-generated content

9. Governing Law & Disputes

These Terms are governed by Texas law.

9.1 Arbitration

Any dispute will be resolved by binding arbitration conducted in Texas.

9.2 Class Action Waiver

You agree not to participate in class actions or class-wide arbitration.

10. SMS/Text Message Terms

By opting in to receive SMS notifications from ComplyTX, you agree to the following terms:

10.1 Consent

By providing your phone number and enabling SMS notifications, you expressly consent to receive automated text messages from ComplyTX regarding compliance deadlines, filing reminders, and account alerts. This consent is not a condition of purchase.

10.2 Message Types and Frequency

Messages may include compliance deadline reminders, overdue alerts, and account notifications. Message frequency varies based on your obligations and preferences (typically 2-10 messages per month for individual users).

10.3 Costs

Message and data rates may apply depending on your mobile carrier. ComplyTX does not charge recipients for receiving SMS messages, but standard carrier rates from AT&T, Verizon, T-Mobile, and other providers may apply.

10.4 SMS Entitlements by Plan

For Agency plans that include client SMS notifications:

• Limits apply to client notifications sent on behalf of your firm
• Unused messages do not roll over to the next billing cycle
• Account security notifications do not count toward limits
• Additional SMS capacity may be available for purchase

10.5 Opt-Out

You may opt out at any time by:

• Replying STOP to any message
• Managing preferences in your account settings
• Contacting support@complytx.com

You will receive a confirmation and no further messages unless you re-subscribe.

10.6 Help

For assistance, reply HELP to any message or email support@complytx.com.

10.7 Carrier Disclaimer

Mobile carriers (AT&T, Verizon, T-Mobile, etc.) are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your network. ComplyTX is not responsible for messages that fail to deliver due to carrier issues, invalid phone numbers, or phones that are turned off or out of range.

10.8 Phone Number Accuracy

You confirm that the phone number provided is yours (or you are authorized to use it) and that you are able to receive SMS messages at that number. You agree to update your phone number promptly if it changes.

11. Changes to the Terms

We may update these Terms as our platform evolves. Material changes will be communicated via email or website notice.
