All content, software, trademarks, and branding remain the property of ComplyTX.
4. Compliance Information & "Ask Teddy" Disclaimer
ComplyTX provides:
- Aggregated open-source rule data
- Auto-generated compliance calendars
- Automated updates
- AI-assisted responses through "Ask Teddy"
ComplyTX does NOT provide legal or tax advice.
All outputs are informational and based on the data you provide.
You are responsible for:
- Verifying filings
- Updating business details
- Consulting licensed professionals when needed
5. Uptime, Data Accuracy & Early-Stage Limitations
ComplyTX is a growing platform. You acknowledge that:
- We do not guarantee uninterrupted service
- Compliance rules may change without notice
- Data is sourced from third-party public agencies
- Responsibility for final filings always remains with the business owner
We aim for accuracy but cannot guarantee it due to evolving Texas regulations.
6. Termination
We may suspend or terminate your account if:
- You violate these Terms
- You misuse the Service
- Your payment fails or subscription lapses
Upon termination:
- Access to your account will cease
- Your data may be archived or deleted pursuant to our Privacy Policy
You may terminate your account anytime by contacting support.
7. Limitation of Liability
To the fullest extent permitted by law:
- ComplyTX is provided "as-is" and "as-available"
- We disclaim warranties of accuracy, completeness, and fitness for a particular purpose
- We are not liable for missed deadlines, penalties, regulatory actions, or compliance failures
- Our maximum liability is limited to the fees you paid in the past 12 months
We are not liable for:
- Lost profits
- Business interruption
- Penalties or fines
- Indirect, incidental, or consequential damages
8. Indemnification
You agree to indemnify and hold ComplyTX harmless from claims arising out of:
- Incorrect business data you provide
- Misuse of the platform
- Violations of these Terms
- Actions stemming from improper reliance on AI-generated content
9. Governing Law & Disputes
These Terms are governed by Texas law.
9.1 Arbitration
Any dispute will be resolved by binding arbitration conducted in Texas.
